ROTONDA SANDS CONSERVATION ASSOCIATION

ANNUAL MEETING MINUTES
MARCH 21, 2018

The duly noticed Annual Meeting and Election of the Rotonda Sands Conservation Association, Inc. was held on Wednesday, March 21, 2018. The meeting was called to order at 10:05 a.m. by President & Chairman Mark Clabaugh and he introduced the Directors. Directors in attendance were Mark Clabaugh, Bill Lomax, Nelson Italiano, Kevin Cote, and Darlene Brooks. Also present were Association Managers Tim Freeman and Brenda Wright.

There were 59 Lot Owners present by proxy and 13 present in person at this Annual Meeting. A quorum was present so the meeting could proceed.

Proof of Notice of the meeting was presented confirming the Association had fully complied with the notice of the meeting. Final call for ballots was made.

MINUTES
The Chairman called for the reading and approval of the minutes from the 2017 Annual Meeting of the members. MOTION was made by Darlene Brooks, seconded by Kevin Cote, and unanimously carried to approve the 2017 Annual Meeting minutes as presented.

REPORTS:
President Report: President Mark Clabaugh highlighted his report noting the west entrance to the community at Brig Way was improved this year, the Association has allowed pig hunters into the community to deter wild pigs from destroying lawns, he cautioned if owners have an issue with an aggressive alligator to contact the Florida Wildlife Commission, he highlighted the role of the MSBU Advisory Board and introduced the owners appointed to that Board.

Treasurer’s Report: Tim Freeman highlighted the Financial Report through December 31, 2017 reflecting all accounts balance and the Association was overall under budget for the year. The Association’s CPA is completing the annual financial review and that information is expected to be available in the next month.

Manager’s Report: Mr. Freeman highlighted the following for his annual report:
• Plans are in process to move the community entrance sign at Brig Way from it’s current position to one of the Association owned lots at the intersection of Brig Way and Brig Circle. The Association is reviewing the community sign at Harness Road entrance to be moved to an Association owned lot as well.
• Owners were provided with information for the Charlotte County app for phones to conveniently and quickly report downed signs and other information to the County.
• With the exception of a few areas, most of the pepper trees have been removed and the Association is transitioning from removing to ongoing maintenance to deter regrowth.
• There was one new home built during 2017 and one is in progress.

OLD BUSINESS There was no old business to come before the members.

NEW BUSINESS
Election: Tim Freeman reviewed the election procedures noting the first notice of election was mailed to owners, there were no write-in candidates, and there were 3 candidates running for 3 Board positions. Congratulation was expressed to candidates Darlene Brooks, Ben Dempsey, and Bill Lomax for two year terms. The Board expressed thanks to Nelson Italiano for his service to the Association over the past couple of years as a Director.

MEMBERSHIP INPUT
The members brought the following for discussion and/or information:
• New Owner in the community expressed thanks to Director, Darlene Brooks, for her answering questions for them and being an overall good neighbor.

ADJOURNMENT
Owners were thanked for their attendance. There being no further business to come before the membership, the meeting adjourned at 10:55 a.m.
